Investment Highlights

World-class investors doubled down: Neuberger Berman led the US$165m Series G at US$7.3bn, with LuminArx; existing shareholders DST Global (early backer of Facebook) and Ribbit Capital increased their investment, and BofA Securities was placement agent. Earlier backers include Coatue, Dragoneer, Koch Disruptive Technologies, Santander InnoVentures and Union Square Ventures. This parcel: A$8.03 (≈US$5.62) per share.

10x share price growth and scale: share price up from US$0.58 (Series C, 2018) to US$5.88 (Series G, 2025); US$50bn+ of credit delivered to 8M+ customers and US$1bn+ in annualised revenue.

Self-funding and cash-flow positive: cash-flow positive for three years before the Series G — the company did not need to raise between 2021 and 2025.

Proven founder, growing distribution: led by Renaud Laplanche, who took LendingClub public in 2014; now powering personal loans inside Walmart-backed OnePay’s app (Jul 2026).

Names you know
  • Facebook’s early backer: DST Global, one of Facebook’s most famous early investors, increased its stake in Upgrade in the 2025 round.
  • Walmart ecosystem: Upgrade powers personal loans in Walmart-backed OnePay’s app.
  • Wall Street: Neuberger Berman led the latest round, with BofA Securities as placement agent.
The Business

Upgrade is a US consumer fintech offering affordable, responsible credit alongside mobile banking. Its flagship products — personal loans and the Upgrade Card, which turns card balances into fixed-rate instalment plans rather than revolving debt — are complemented by checking and savings, BNPL, and home improvement and auto financing.

Scale and Performance
  • Credit delivered: US$50bn+ to 8M+ customers since 2017.
  • Revenue: over US$1bn annualised.
  • Profitability: cash-flow positive for years, allowing it to go four years (2021–2025) without new equity.
  • Capital: ~US$750m of total equity raised, including the US$165m Series G used to strengthen the balance sheet ahead of an IPO.
Diversification and distribution
  • Beyond personal loans: expanded into cards, mobile banking, auto loans (2023) and travel BNPL via the ~US$100m Uplift acquisition (2023).
  • Fast-growing new lines: home improvement financing passed US$2bn and auto financing passed US$1bn cumulative originations, launched only three and two years earlier respectively.
  • Proprietary distribution: hundreds of airlines, cruise lines and travel brands, and thousands of home improvement contractors and car dealerships; Flex Pay (formerly Uplift) is used by 750+ travel and retail brands.
  • Embedded lending: Upgrade now powers OnePay Personal Loans (US$1,000–US$50,000) inside the OnePay app (Jul 2026), giving Upgrade access to millions of new customers.
  • Cross-product focus: the priority is a seamless experience across products, so a customer who joins via BNPL can easily move into cards, loans or banking.
•AI-native products: Upgrade is shipping its first AI-native product (announced Apr 2026).
IPO timeline and momentum
  • Oct 2025: CEO Renaud Laplanche said Upgrade was probably 12–18 months from an IPO.
  • Pre-IPO liquidity: the Series G was raised partly to let employees sell some stock before the IPO — a classic pre-listing step.
  • Proven IPO leader: Laplanche took LendingClub public in 2014 in the largest US tech IPO of that year.
  • Growing fast: customers grew from 7.5M to 8M+ and credit delivered from US$42bn to US$50bn+ between Oct 2025 and Jul 2026; valuation up from US$6.28bn (2021) to US$7.3bn.
Valuation context
  • Anchored to a recent institutional round: the Oct 2025 round valued Upgrade at US$7.3bn post-money, up from US$6.0bn in Nov 2021, with shares priced at US$5.88 (Series G) and US$5.64 (Series F-2).
  • At the last round price: this parcel is offered at A$8.03 (≈US$5.62) per share — in line with the US$5.64 Series F-2 price — ahead of a potential IPO.
  • Rare access: Upgrade shares are not listed, and secondary activity is limited.
  • IPO step-up: according to PitchBook, US IPOs in 2025 priced at a median 25% above the companies’ peak private valuations (2021: 226%) — buying at or below the last round positions investors ahead of any IPO step-up.
  • Strong secondary demand: in mid-2026, median secondary trade prices reached par with companies’ last primary funding rounds for the first time since Feb 2022 (Forge).
