BioAnalytics Holdings Ltd is an Australian medical technology company developing the world’s first user-adjustable, patented, low-cost, connected oral device for the treatment of obstructive sleep apnoea. The BioAnalytics device is designed to improve comfort, affordability and treatment compliance for patients who cannot tolerate existing therapies. The device has both diagnostic and therapeutic capability, while a companion app provides user feedback, insights into sleep quality, and the potential for data sharing to support large-scale research.

Obstructive sleep apnoea is a life-shortening condition that repeatedly cuts airflow during sleep. It is linked to type 2 diabetes, stroke, heart disease, hypertension and dementia, and costs more than US$150 billion a year in the US alone, with a further A$26 billion annual burden in Australia.

The Company addresses a large unmet need in sleep therapy. Approximately 40% of diagnosed patients are unable to use existing therapies because of discomfort, inconvenience or poor fit. Across the US, EU and Australia, around 67 million people require treatment.

BioAnalytics has completed hard tooling for production, built multiple functional electronics-enabled units, and secured CE and TGA regulatory approvals. The platform is protected by a patent portfolio covering the device and electronics.

The Company has developed a strong business model that uses injection moulding to enable large-scale, low-cost manufacturing in a sector not typically suited to mass production, supporting a high-margin product. This is further strengthened by a three-year replacement cycle and SaaS revenues.

In this capital raise to date, the Company has raised $238,715 through the issue of 207,576 shares at $1.15 per share.

Prior to the current capital raise the Company has raised approximately $3M from professional investors.

BioAnalytics also receives a R&D Tax Incentive rebate shortly after the end of each financial year, providing 43.5% cash back on eligible R&D expenditure. BioAnalytics has successfully received a rebate each year since inception—the vast majority of the Company’s expenses qualify under the program. This rebate provides a meaningful cash flow benefit and effectively extends the Company’s operational runway.

The BioAnalytics device is the world’s first user-adjustable, connected oral device for the treatment of obstructive sleep apnoea.

It maintains airway patency by advancing the lower mandible through a genuinely new mechanism that preserves natural jaw mobility, does not grip the teeth, and is designed to improve comfort relative to conventional mandibular advancement devices.

The device is suitable for mouth breathers and denture wearers, can be adjusted gradually by the user, and is designed to improve adherence for the 40% of diagnosed patients who cannot use existing therapies.

Its electronics-enabled platform includes integrated sensors, Bluetooth connectivity and a companion app that support adjustment guidance, compliance monitoring and basic sleep-quality insights.

With hard tooling completed, regulatory approvals secured and a target price below A$400, BioAnalytics combines comfort, accessibility and connected data in a scalable sleep-therapy platform.

Duties: Responsible for overall corporate strategy, commercial execution, and the company’s capital raising and trade sale strategy. Oversees clinical trial progression, product commercialisation, and governance alignment with regulatory standards across CE, TGA and MedSafe jurisdictions.        

Adjunct Professor Dr Anthony Sassé

Director & Clinical Director

Duties: Oversees the Company’s clinical program and medical research direction, including clinical trial design, medical oversight, and the validation of the BioAnalytics device.                                                                                                                                                                                                                           

Alan Lipman

Non-Executive Director 

Duties: Provides board-level guidance on advanced manufacturing strategy, operational execution, and strategic partnerships. Supports the Company’s manufacturing, commercialisation, and supply-chain frameworks, drawing on deep experience in scaling complex engineering and MedTech production environments.                                

John Hibberd

Chairman

Duties: Responsible for providing strategic oversight of the Company’s governance, board operations, and capital management. Works closely with the CEO to guide corporate direction, risk management, and investor engagement.                          

Mathew Hick

Non-Executive Director 

Duties: Provides governance oversight, strategic input, and financial management expertise to the Board. Supports the Company’s corporate governance framework and contributes to commercial planning and execution during the growth and commercialisation phase.
