Investment Highlights


A decade of institutional delivery, by name

Approximately 230 customers since 2017, including 16 federal, state and territory government bodies and 8 universities, six in Australia and two in New Zealand. Appointment to the Australian Commonwealth Digital Marketplace panel, two modules, effective 27 July 2026 with a term to October 2029.

Government trust compounds, transfers to an acquirer, and cannot be shortcut with capital.


A worldwide Accenture agreement, and it transfers

A Master Technology Purchase and Use Agreement with Proquire LLC, Accenture's global procurement entity, effective 27 November 2024, makes Mindhive an approved technology supplier to Accenture worldwide: internal use, client delivery and direct client billing.

Either party may assign the agreement and all orders, without the other's consent, in a merger, acquisition or sale of substantially all assets. An acquirer inherits the channel from signing.

The platform has been deployed in Accenture's own environment since the tenant was validated on 7 March 2025, and was used at the ANZ managing director planning events in November 2025: more than 300 managing directors, three cities, six breakouts.

Stated plainly: the channel is contracted, validated and deployed, and has not yet produced a paid invoice. Joint pursuits are at proposal stage. Converting them is the second use of this raise.


Certified, registered and dated

ISO/IEC 27001:2022, certificate ISMS-3127-001, Johanson Group, first certified 4 December 2023, current to 13 February 2028. SOC 2 Type II. GDPR, EU Standard Contractual Clauses, UK International Data Transfer Addendum and Swiss FADP provisions. Third-party penetration testing.

The same AusIndustry research project has been registered every year since 2018, with a planned life to June 2027. A$1,486,361 returned across five evidenced years. A matter of public record, date-stamped by a third party.


A price that has never gone backwards

A$0.20 at founding in 2017. A$0.22 through the crowd-sourced round. A$0.44 from January 2024. A$0.55 from October 2024, held since.

A$6,542,166 subscribed across 317 holders. Ordinary shares carry no ratchets. Preference and Preference B Series shares are approximately 20.6% of shares on issue, with A$2,167,881 paid up ranking ahead of ordinary shares on a reduction of capital or winding up. Terms in the data room.

Company Overview


Mindhive is the governance layer for enterprise AI: the room where ten to ten thousand participants deliberate together, with role-based agents pressure-testing every position, and a decision-grade audit trail attached to the output.

Human in the loop assumes one person is checking the machine. A board, a leadership team, a whole workforce, a field of stakeholders: the decision belongs to many people at once, and no single reviewer can stand in for them.

What it is not. Not a wrapper around a language model. Not a post-meeting summary tool. Copilot, Otter and Fireflies capture what was said. Mindhive governs what is decided.

Founded in Brisbane and registered in April 2017, now in its fourth platform generation: Mindhive 4 went live on 2 January 2026. Council, the live-meeting agent, was built to version one in April 2026 and is in testing. The Partner Hub launched in June 2026.

In Practice 


The Queensland Government ran the QBCC governance review on it. Two open discussions, 26 January to 18 February 2022, more than 400 stakeholders participating and observing. The coded evidence base ran to 799 comments. The review made 17 recommendations comprising 77 actions, and the Queensland Government supported all 17 in principle in June 2022. Facilitated by the QUT Faculty of Business and Law.

The review was led by Jim Varghese AM, who is Mindhive's Chair. The company discloses this wherever the engagement is cited.

Ventia, ASX-listed. 468 of 600 invited staff answered one CEO roadshow question in March 2023, a 78% participation rate recorded by Ventia. Seven internal use cases and a repeat engagement.

The Second Route To Market


Xero won by making accountants the distribution channel into small business. Mindhive gives consultants the platform, a certification pathway, the methodology, client leads and the compliance stack to deliver under. In return they carry the product into their own client base.

They operate under Mindhive's licence, not just its logo: the brand, the methodology, the ISO/IEC 27001 and SOC 2 certifications and the insurance programme, which is the first thing a client's procurement asks for.

269 Partner Hub members at 9 September 2026, from 59 at 30 June. Built on 1,061 qualified consultant leads across FY2025 and FY2026 at a blended A$19.96, with cost per lead falling 6% across the year and 37% in the final quarter.

Stated plainly: the network is early. Two members held a formal certificate at 30 June 2026, and partner-attributed revenue in FY2026 was nil.

The Board's 1 September Resolution


On 1 September 2026 the Board resolved to commence a structured process to explore strategic options, and resolved that the process be funded by this offer.

A company of this size is under-scaled to carry this asset forward alone. What the company has is a certified, contracted, production platform. What it does not have is the balance sheet to put a sales organisation behind it, or the years to build one before the window closes.

The process may or may not result in a transaction, at any value or at all. No adviser had been appointed at the date of the FY2026 directors' report.

Diligence Discipline


Stated here rather than left to be found.

Going concern. The FY2025 audit report carries an unmodified opinion from BDO Audit Pty Ltd with a material uncertainty paragraph relating to going concern. That paragraph is required wherever a company depends on continued funding to trade. It is not a qualification.

Revenue. FY2026 revenue was lower than FY2025. The engineering work for System Operating, 93.8% of FY2025 revenue, ended and the company re-based onto licensing, partners and channel. The FY2026 audit commenced 3 July 2026 and no FY2026 financial figures are published. The audited statements, when issued, prevail over anything on this page.

Channel. Non-exclusive, no minimum commitment, and revenue collected through the agreement to date is nil.

Team. The Board has comprised two directors since 21 May 2026.

Valuation. The directors publish no valuation of the company and the Board has adopted none.
