Vivedus’s product is a new SaaS, AI-enabled learning activation platform sold directly to schools at $650 +GST per teacher per annum, making our revenue recurring and predictable.
Schools enter into a five-year renewable license agreement, providing strong Annual Recurring Revenue (ARR) and long-term retention.

Vivedus offers and sells professional development services and Vivedus onboarding resources to schools.

Vivedus Pty Ltd – Seed Extension Capital Raise

  • Issuer: Vivedus Pty Ltd ACN 675 519 507
  • Offer: The Company is offering 650,000 Seed A Class Shares at $1.00 per share to raise $650,000 in capital.
  • Type of Security: Fully paid Seed A Class Shares, as defined in the Shareholders Agreement. These shares carry rights as set out in the Company’s Constitution and Shareholders Agreement, including dividend entitlements pari passu with Ordinary Shares and the right to appoint a director if holding at least 5% of Seed A Class Shares.
  • Offer Price: $1.00 per share
  • Minimum Investment: $20,000 (equivalent to 20,000 Seed A Class Shares)
  • Pre-Money Valuation: $3M based on 3,000,000 shares on issue prior to this round (inclusive of a 250,000 share pre-raise ESOP allocation)

USE OF FUNDS

Funds raised will be used to accelerate product development, expand the sales pipeline, support school onboarding and implementation, and prepare for international market entry.

  • Share Class Rights: Seed A Class Shares rank equally with Ordinary Shares in respect of dividends and exit proceeds.
    They are subject to the terms and protections in the Shareholders Agreement, including tag-along and drag-along rights, pre-emptive rights, and rights relating to Board representation.
  • Employee Share Option Pool (ESOP): An additional 250,000 shares (representing 6.85% of the post-raise capital) are allocated to a pre-money ESOP.
  • Shareholding Structure Post-Raise: 
    • Founders: 2,000,000 shares (acquired at $0.01)
    • Seed Investors (2024 round): 750,000 shares (at $1.00)

Previous Funding


In early 2024, Vivedus successfully completed its initial Seed Capital Raise of $750,000, (750,000 Class A shares offered at $1.00each) attracting support from eight investors, primarily parents of school-aged children who are also experienced business leaders. These early backers were drawn to Vivedus's compelling vision for transforming education and recognised its potential to make a lasting impact.

The round was led by Lance Hockridge, who now serves as Chair of the Board. Lance is a globally experienced executive with a distinguished career in manufacturing, logistics, and transportation. He is a former Non-Executive Director of Huawei Technologies (Australia), Deputy Chairman of Long-Term Asset Partners (LTAP), and has held numerous leadership roles in the not-for-profit sector. Along with his role with Vivedus, he is also Chairman at AVADA Group Ltd, a non-executive Director of Saudi Railway Company, Saudi Arabia.
 
Another key investor is Nathan Belling, a parent of three children and the Founder and CEO of LC Investments, a boutique project management and investment firm specialising in land subdivision, commercial property, and private funding. Nathan also mentors founders and business leaders, further contributing strategic insight to the Vivedus journey.
This foundational raise enabled the development of the first module of the Vivedus Platform, supported pilot school partnerships across Australia, and laid the groundwork for the company’s go-to-market strategy.
